These Terms of Use ("Terms") govern your access to and use of the website and services provided by Paragon Grid Studio, LLC ("Paragon Grid," "we," "us," or "our"). By using our website or engaging us for services, you agree to these Terms. If you do not agree, please do not use the site or engage our services.
01 — Acceptance of these Terms
By accessing paragongrid.studio (the "Site") or signing a service agreement with us, you confirm that you are at least eighteen (18) years of age, have the legal authority to enter into a binding agreement, and accept these Terms in full. If you are using the Site or our services on behalf of a business, you represent that you have authority to bind that business.
02 — Use of the Site
You may use our Site for lawful purposes only. You agree not to:
- Use the Site in any way that violates any applicable federal, state, local, or international law
- Attempt to gain unauthorized access to any portion of the Site, our servers, or any connected systems
- Use any robot, scraper, or other automated means to access the Site for any purpose without our express written permission
- Introduce viruses, trojans, worms, or other malicious code
- Reproduce, duplicate, copy, sell, or exploit any portion of the Site without written consent
- Impersonate or attempt to impersonate Paragon Grid Studio, an employee, or another person
03 — Our services
Paragon Grid Studio provides website design, development, hosting, and ongoing care services. The specific scope, deliverables, timeline, and price for any project will be set out in a separate written proposal or service agreement ("Project Agreement") between you and us. In the event of a conflict between these Terms and a Project Agreement, the Project Agreement controls for that specific engagement.
Estimates and timelines
Any timelines, delivery dates, or estimates we provide are made in good faith but are not guarantees. Project timelines depend in part on your timely feedback, content, and approvals. Delays caused by the client may extend delivery dates accordingly.
04 — Payment & refunds
Project work
Unless otherwise stated in a Project Agreement, all design and development projects require a non-refundable deposit of fifty percent (50%) of the total project fee before work begins. The remaining balance is due upon project completion and prior to final delivery or website launch. We accept payment via credit card, ACH bank transfer, or other methods identified on the invoice.
Care plans & recurring services
Care plans and other recurring services are billed monthly in advance. You authorize us to charge your selected payment method for the agreed-upon amount each billing cycle until you cancel. Cancellations take effect at the end of the current billing period; we do not pro-rate partial months.
Late payments
Invoices are due upon receipt unless otherwise specified. Payments more than fifteen (15) days past due may incur a late fee of 1.5% per month or the maximum allowed by Texas law, whichever is lower. We reserve the right to suspend services for accounts more than thirty (30) days past due.
Refunds
Project deposits are non-refundable. Once work has begun, refunds for completed work are not available. If you cancel a project mid-build, you remain responsible for payment for all work completed up to the date of cancellation.
05 — Intellectual property
Our materials
The Site, including its design, code, text, graphics, logos, and the Paragon Grid Studio name and marks, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not use any of our materials without our prior written consent.
Project deliverables
Upon full payment of all amounts owed under a Project Agreement, ownership of the final, custom-designed website deliverables we create specifically for your project transfers to you. This includes the design, copy we wrote for you, and the source code of your website. We retain ownership of any proprietary tools, frameworks, components, or pre-existing materials we use to build your site, and we grant you a perpetual, royalty-free, non-exclusive license to use them as part of your website.
Portfolio rights
Unless we agree in writing otherwise, we reserve the right to display screenshots, descriptions, and links to your completed project in our portfolio, on our website, in case studies, and in marketing materials.
06 — Client content
You retain all ownership of any content (text, images, logos, videos, data) you provide to us for use in your project ("Client Content"). By providing Client Content, you grant us a non-exclusive, royalty-free license to use, reproduce, modify, and display the Client Content as needed to perform the services. You represent and warrant that you own or have all necessary rights to the Client Content and that it does not infringe the rights of any third party.
07 — Third-party services
The websites we build often rely on third-party services such as hosting providers, domain registrars, content delivery networks, payment processors, analytics platforms, and plugins. These third parties have their own terms of service and privacy policies, and we are not responsible for their performance, availability, or actions. Where you have a direct account with a third party (for example, your domain registrar or hosting account), that relationship is between you and the third party.
08 — Warranties & disclaimers
We provide our Site and services with reasonable care and skill. However, the Site and services are provided "as is" and "as available," without warranties of any kind, either express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
We do not warrant that the Site will be error-free, that defects will be corrected, or that the Site or its server is free of viruses or other harmful components. We do not guarantee specific business outcomes such as search engine rankings, lead volume, or revenue, as those depend on many factors outside our control.
09 — Limitation of liability
To the maximum extent permitted by law, in no event shall Paragon Grid Studio, its officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of goodwill, arising out of or relating to your use of the Site or our services, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or one thousand dollars ($1,000), whichever is greater.
10 — Indemnification
You agree to indemnify, defend, and hold harmless Paragon Grid Studio and its officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (a) your use of the Site or our services, (b) any Client Content you provide, or (c) your violation of these Terms or any applicable law.
11 — Termination
We may suspend or terminate your access to the Site or any service at any time, with or without notice, for any reason, including violation of these Terms or non-payment. You may stop using the Site at any time. Provisions of these Terms that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and limitation of liability) shall survive.
12 — Governing law & disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts. Where permitted by law, the parties agree to first attempt in good faith to resolve any dispute through informal negotiation before initiating formal proceedings.
13 — Changes to these Terms
We may revise these Terms from time to time. The most current version will always be posted on this page with an updated "Effective" date. Continued use of the Site or our services after a revision constitutes acceptance of the revised Terms. For material changes affecting active clients, we will provide reasonable notice in advance.
